Contract negotiation

Background

Support to negotiate and structure commercial contracts

Edgewater Advisors negotiates contracts for clients.  Examples of contracts include: share purchase agreements, asset puchase agreements, letters of intent, complex multi-year I.T. contracts and executive contracts.

It is often the case that the client does not have the time or resources to dedicate to the details and subtleies of a complex negotiation.  For example, Edgewater was retained by a transportation firm to negotiate a mult-year contract with a major Canadian telco.  The Telco's contract ran to 200 pages and contained many price adjustments, penalties, take-or-pay clauses and so forth.  Edgewater worked with the telco over about one year to come up with a contract that worked for the tranportation client.  Edgewater can also handle the preliminary negotiations on a contract (such as an executive compensation agreement) so the client doesn't have to negotiate face-to-face too early in the process.

Edgewater also works closely with client's internal or external counsel.
